WE SHALL HAVE NO LIABILITY TO YOU OR ANY OTHER INDIVIDUAL OR ENTITY FOR ANY LOSS OF PROFITS, LOSS OF SALES OR LOSS OF OPPORTUNITIES, OR ANY INCIDENTAL, CONSEQUENTIAL OR SPECIAL LOSS OR DAMAGE OF ANY KIND OR NATURE, INCLUDING EXEMPLARY OR PUNITIVE DAMAGES. THE TOTAL LIABILITY OF PIPEDRAPECO LLC SHALL NOT EXCEED THE TOTAL PURCHASE PRICE PAID BY YOU HEREUNDER FOR THE PRODUCTS CORRESPONDING TO YOUR CLAIM. THIS LIMITATION OF LIABILITY SHALL APPLY EVEN IF THE EXPRESS WARRANTIES SET FORTH IN THIS AGREEMENT SHALL FAIL IN THEIR ESSENTIAL PURPOSE.
Customer acknowledges that these products are intended for indoor, decorative use only. No representation regarding the stability or strength of these products is implied. The customer is responsible for using these products in a manner where there is no risk to persons or property. Customer acknowledges that these products can tip over and are not intended to be used as a permanent structure or safety barrier or in areas where they may be knocked into. Any modification of these products may result in damage or injury. Any of our metal parts can be sharp and/or have a rough edge. We strongly recommend handling any metal part with work gloves (and for Bases, even if optional edge protection is added).
Governing Law and Venue
The interpretation and enforcement of any order placed hereunder and/or any provision of these Terms and Conditions shall be governed by the laws of the State of Georgia without reference to its choice of law rules. For the purposes of any action, dispute, claim or controversy between the parties in connection herewith, the parties irrevocably consent to the exclusive jurisdiction and venue of the state or federal court for the county or district wherein Roswell, Georgia is located. Notwithstanding the foregoing, any final judgment of such court against a party may be enforced in any court or jurisdiction where such party’s assets may be found.
Force Majeure
We shall not be liable for failure to fulfill any obligation hereunder if that failure is caused, directly or indirectly, by flood, communications failure, extreme weather, fire, earthquake or other natural calamity or act of God, malicious acts of third parties, labor disputes, civil disorders, acts of governmental agencies, or any other causes beyond our reasonable control.
Order Cancellations, Refunds, and Returns
Orders are considered firm when placed. If production/packaging has begun the order is subject to our restocking fees, as outlined below under “returns”.
Returns / Refunds:
Any returns must be completed within 14 days of the date of ordering and must be returned in the ORIGINAL packaging. Items that arrive to us that are damaged will not be refunded. Please contact us for a Return Authorization number ("RA#"). All returns must have your unique return authorization number clearly marked on the outside of the box(es), or they will be refused at our dock. We will supply you with specific instructions of the return address. Do not ship to our office address, as they do not have the ability to accept packages.
Unless there is a prior written agreement from us, any originally paid outbound shipping costs are not refundable, and all return shipping costs are the customer's responsibility. Drapes are subject to a 50% restocking fee (we suggest you request a swatch prior to ordering to avoid this) as they are cut and sewn to order. Orders for metal parts or packages that include drape are subject to a 30% restocking fee. Custom items (including a customer's request for us to alter drape size, upright pipe size, or any request to modify any item from its standard advertised dimensions) are not returnable.
Damaged Items / Missing Items / Incorrect Items Shipped:
Please open and inspect all contents immediately upon delivery. You have a maximum of 10 calendar days from the delivery of your order for any claim of damaged, missing, or incorrect items that were shipped. In order to file a damage claim with the shipping carrier, please retain all packaging and materials for any potential inspection by the carrier. We will correct any such instance at our expense, with any replacement items being shipped only using the same method (or equivalent in transit time) that was chosen by the customer in their original order.
Payment Methods
We accept most major credit cards, checks, and ACH payments. Returned checks are subject to a $30 fee. Purchase Orders ("PO"s) are accepted from most colleges, universities, public schools, government agencies (federal, state, and local), and the military. Our payment terms for POs are Net 30.
Shipping issues
We are not responsible for shipping carrier delays that are caused by factors beyond our control. Once an order has left our facility, shipping delays or issues are considered beyond our control. Please plan ahead and order early. We are not responsible in any manner for missed deadlines, dates or events. Transit and/or delivery times are not guaranteed for any method of shipping.
Damaged, missing parts, or incorrect orders must be reported to us within 5 days of your receipt of your order. Examine you order thoroughly upon receipt and in case of damaged goods retain the original packaging. If boxes appear damaged upon receipt, please take pictures. Any refunds for damaged shipments will be paid only if the shipper approves your claim and at the time we receive restitution from the shipper. Orders missing parts or shipped with incorrect parts will be replaced by the shipping method you originally choose. For example, it you paid for Ground shipping originally, we will not pay to ship by Air or Overnight shipping. No exceptions.
Refusal of shipments, address corrections, or additional services requested by the customer are at the expense of the customer. This includes any costs associated with re-routing orders or orders that are retuned or deemed undeliverable or after unsuccessful delivery attempts. Ancillary freight costs such as liftgate services, appointment setting or inside delivery will be at the customers expense.
International shipping (outside of the 50 United States) – shipping method costs shown on our website are for transportation costs only. Any duties, taxes, brokerage, and/or tariffs are not included, and are the customer’s responsibility.
Tolerances
There are reasonable tolerances for the sizes of any of our products. For example, drapes are sewn within +/- 1 inch on the height. Drapes that are wider than advertised are considered acceptable (as roll widths can vary).
Dye Lots
Customer acknowledges that dye lots may vary and are not within our control. Also, the shade of color for different types of fabrics / materials may be not be identical, even if the same color name is used for multiple fabrics / materials. For example: the color "Black" for one fabric may not be the exact same shade of "Black" for a different fabric (even though the color name for both materials is called "Black").
